Warning regarding illegal offering of shares of Porsche AG prior to market flotation

Dr. Ing. h.c. F. Porsche Aktiengesellschaft („Porsche Aktiengesellschaft“) has informed the BaFin (Bundesanstalt für Finanzdienstleistungsaufsicht) that third parties are offering alleged shares of Porsche Aktiengesellschaft prior to market float.

These offerings are illegal and do not originate from Volkswagen Aktiengesellschaft, Porsche Aktiengesellschaft or from one of their subsidiaries. With the Ad-hoc release dated 22nd February 2022, Volkswagen AG has informed on discussions relating to a potential IPO of Porsche Aktiengesellschaft. A potential IPO of Porsche Aktiengesellschaft is currently examined by Volkswagen AG. The decision on an actual IPO of Porsche Aktiengesellschaft lies solely with Volkswagen AG's corporate bodies; a decision has not been made yet.
